UpgrAId.io provides a white-label AI agent platform that allows agency owners to create, customize, and deploy AI-powered chatbots for their clients. The Service includes agent creation tools, lead capture functionality, appointment booking features, and client management capabilities. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

The Service is provided on a subscription basis. By subscribing to a plan, you agree to pay all fees associated with your selected plan. Subscription fees are billed in advance on a monthly basis and are non-refundable except as expressly stated in our refund policy.

We reserve the right to change our prices at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to use the Service to:

8. AI-Generated Content

The AI agents created through our Service generate responses based on the instructions and knowledge base you provide. While we strive to provide accurate and helpful AI capabilities, we do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and monitoring the content generated by your AI agents.

9. Limitation of Liability

To the maximum extent permitted by law, UpgrAId.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
